Cyprus Company Formation Costs: Full Breakdown of Setup and Annual Fees

Hi CYAUSE,

Thank you for the information and providing the pricing structure of incorporating the Cy Ltd. 

Basically, for the incorporation: the one-time fees are a total of 1,700 EUR + TAX. The recurring yearly fees are 1,100 + VAT. Are there any other costs that are not listed here? like a registered address, mandatory auditor or accountant etc? 

I have one concern regarding the current setup you proposed. Rather than having the Cyprus entity invoice the US company, I would prefer a parent structure. Specifically, the Cyprus company would own the US LLC (LLC but taxed as a C-corp), eliminating the need for intercompany invoicing. After the US company pays its domestic corporate taxes, the LLC would distribute dividends to its sole owner (the Cyprus entity). Given the double tax treaty between the US and Cyprus, what would the USA dividend withholding tax be reduced to from the standard 30%?

The once-off fees are EUR 1,100 + VAT + Disbursements (around 600 euros) = EUR 1,309 + 600 = EUR 1,909 approx. 

The recurring yearly fees are 1,100 + VAT. Are there any other costs that are not listed here? like a registered address, mandatory auditor or accountant etc?  

These fees include the audit fees and the submission of the company's tax declaration (IR4) plus the submission of the annual report HE32 to the Cyprus registrar of companies. This offer is based on the fact that the accounting will be minimum (very few transactions). Nominee services have not been included in the above mentioned cost.  Let me know your thoughts about the suggested structure as per my previous email so that we can discuss further.

I think the only 2 costs that were not included in the above pricing are the nominee and registered address? What would be the added costs of these services? 

Hi Client, 

The cost for the provision of secretary and registered address will be EUR 1,200 + VAT per annum. 

In case you need to add a director (strongly suggested to ensure that the company will be considered Cyprus taxed) as well the cost will be EUR 1,800 + VAT per annum.

-One time fee is 1,909 EUR. Includes: formation + accounting + tax ID + bank accounts + secretary + registered address + director

-Yearly fees are: 1,100 + 1,200+ 1,800 = 4,100 EUR. Includes: accounting, secretary, registered address, director, auditing, and tax return filings.

• Incorporation of a Cypriot Company: EUR 650 + VAT + Disbursements (approx. EUR 600) 
• Once-off (tax registration, UBO declaration and creation of profile, e-filing acces codes): EUR 450 + VAT  

*Opening of a corporate bank account is not included in the above. In case you need it the cost will be EUR 1,000 + VAT. 

Recurring fees (charged per annum): 

• Audit fees including the submission of the company's tax declaration and the annual report submission: EUR 1,100 + VAT 
• Nominee services (provision of director, secretary and registered office): EUR 1,800 + VAT 

*Disbursements are excluded 

**The cost of the accounting/audit fees will be increased in case the volume of transactions or complexity  increases
